Terms of service
1. orders
By placing an order, the contract is deemed to have been concluded and the customer thereby acknowledges our terms of delivery. Deviations or other agreements are only valid if they have been confirmed in writing by Almedica AG.
2. delivery period
Our goods are usually dispatched from stock. All other goods are delivered immediately after receipt. Delivery may be delayed if third parties are in arrears with the work to be carried out by them or are in default with the fulfillment of their contractual obligations.
3 Prices and terms of payment
We reserve the right to change the prices of the items in our range at any time. These are net prices, VAT not included, unless otherwise agreed.
The invoice amounts are payable within 30 days without any deductions, unless otherwise agreed. We reserve the right to make subsequent charges for unauthorized deductions and to charge interest on arrears after expiry of the payment period. Reminder charges and collection costs shall be borne by the buyer.
4 Shipping, postage, packaging
The type of shipment shall be at our discretion, depending on the goods.
We charge a flat-rate postage and packaging fee for our shipments. For deliveries ex works, the costs charged by our suppliers may be passed on.
No postage and packaging costs will be charged for subsequent deliveries due to backorders. The company reserves the right to send goods by cash on delivery.
5 Inspection and acceptance of the delivery
The customer must inspect the deliveries within 8 days and notify us immediately in writing of any defects. If he fails to do so, the deliveries shall be deemed to have been approved.
6 Warranty and liability
Unless otherwise agreed in writing, our guarantee shall cover all defects occurring within the agreed guarantee period from the date of delivery in accordance with the guarantee of our suppliers, provided that these are demonstrably caused by poor material or faulty manufacture. However, our liability is limited, in our opinion, to replacement of the defective items or to reimbursement of the invoice value of the non-replaced items (no cash refund).
7 Transfer of benefit and risk
Benefit and risk shall pass to the customer at the latest when the goods arrive at the destination specified by the customer.
8 Retention of title
The delivered goods remain the property of Almedica AG until full payment has been received.
9. place of jurisdiction
The place of jurisdiction for the parties is Murten/FR. The legal relationship is subject to Swiss law.
